Provider Agreement

This agreement applies to experts and template authors ("providers") who sell on the LeadingPilot marketplace. By applying to become a provider or publishing a listing, you accept it. Plain-English summary: you're an independent business, you deliver what you promise, you keep customer data safe, you don't take payment off-platform, and LeadingPilot pays you your share after its fee.

01Becoming a provider

The marketplace is operated by Telvara Holdings Limited (company number 17175891, 27 Crofton Road, No. 6, 1st Floor, Liverpool, England, L13 5UJ). You apply to become a provider; LeadingPilot reviews every application and may approve or decline at its discretion. Approval does not create employment, agency, or partnership. You are an independent contractor running your own business.

02Verification, identity and tax

Before payouts, you must provide accurate business details for verification (legal or company name, country, address, and tax/VAT identifiers where applicable) and a payout account. You are responsible for the accuracy of this information and for declaring and paying your own taxes.LeadingPilot may withhold payouts until verification is complete or where required by law.

03Listings and templates

Your listings and templates must be accurate, clearly scoped, and your own work (or work you are licensed to sell). Each service listing must state its deliverables, required customer inputs, delivery time, revision policy, and what is not included. Vague listings will not be approved.

Templates must contain no real customer personal data, must include setup instructions, and are versioned. LeadingPilot reviews submissions and may reject, request changes to, or remove any listing or template.

04Delivering orders

Deliver the agreed scope to a professional standard within the stated time. Communicate through the order messages, keep the customer informed, and submit your work as a deliverable. If you cannot deliver, tell the customer promptly; repeated late or non-delivery affects your ranking and may lead to suspension.

05Customer data, confidentiality and data protection

When a customer gives you access to their workspace, lead data, or systems, you act as their data processor. You must: use that data only to deliver the order; keep it confidential; apply appropriate security; not retain it longer than needed; and delete or return it on request or when the order ends. You must comply with UK GDPR and applicable data-protection law.

You must not publish private transcripts, customer personal data, or anything you learn in the course of an order. This obligation survives termination of this agreement.

06No off-platform payments or solicitation

You must transact through LeadingPilot. You may not solicit customers to pay you off-platform, move an introduced customer off the platform to avoid fees, or share contact details for that purpose. Circumvention is a serious breach and may result in immediate termination and forfeiture of pending payouts.

07Reviews

You may not create fake reviews, pay for or incentivise reviews, review your own listings, or pressure customers over reviews. Manipulating ratings is grounds for removal from the marketplace.

08Fees, commission and payouts

LeadingPilot charges a commission on your earnings: 20% for standard providers, 15% for verified providers, and 10% for certified partners on services, and 30% on template sales. Commission is deducted before payout. The applicable rate is shown when an order is created.

Your earnings accrue when an order is completed (customer-approved) or a paid template is installed. LeadingPilot pays out your accrued net balance to your payout account, subject to verification and any holds for disputes, refunds, or fraud review.

09Refunds, cancellations and disputes

Where a customer is entitled to a refund under our Refund & Cancellation Policy (for example, work not delivered or materially not as described), the refunded amount, including the related share of your earnings, may be reversed. You agree to engage in good faith with the LeadingPilot dispute process and to accept its reasonable decision as platform operator.

10Template ownership and revenue share

You keep ownership of the templates you publish and grant customers a non-exclusive, non-transferable licence to use them in their workspace, and grant LeadingPilot the licence needed to host, display, review, and distribute them on the marketplace. For paid templates, your net revenue share (price less commission) accrues on each install and is paid out with your other earnings.

11Prohibited services

You may not offer services or templates that are unlawful; that involve scraping, harvesting, or sale of personal data; that send spam or unsolicited bulk messages; that serve firearms, controlled substances, sexually explicit material, or gambling; that facilitate academic misconduct; or that infringe third-party intellectual-property rights. Services must relate to inbound lead conversion, AI qualification, CRM and booking automation, or sales-funnel improvement.

12Suspension and termination

LeadingPilot may suspend or terminate your provider account for breach of this agreement, low quality, high dispute rates, fraud, circumvention, or where required to protect customers or the platform. On termination you must complete or hand over open orders as directed; confidentiality and data-deletion obligations continue. Either party may end this agreement on notice where there are no open orders.

13Independent contractor status

You are an independent contractor, not an employee, worker, or agent of LeadingPilot. You are responsible for your own business costs, insurance, equipment, and statutory obligations, including tax and social-security contributions. Nothing in this agreement creates a partnership or joint venture.

14Liability and indemnity

You are responsible for the services and templates you provide and for any loss caused by your breach of this agreement, including data breaches and IP infringement, and you indemnify LeadingPilot against third-party claims arising from your conduct. Subject to liability that cannot be limited by law, LeadingPilot's total liability to you is limited to the commission it earned on the relevant order or template.

15Governing law

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
